 ARTICLE 9
Medical Center Operations and Leadership

SECTION 9.1 APPOINTMENT OF CHIEF EXECUTIVE OFFICER.   The Board shall appoint a Chief Executive Officer as its representative in management of the Medical Center and to work with the Board.  The Chief Executive Officer should have, at a minimum, a bachelors degree in Health Administration/Business Administration, or a degree representing a clinical entity within the healthcare environment combined with like direct line experience in Medical Center operations.   The Board shall evaluate the Chief Executive Officers performance at least annually.
SECTION 9.2 AUTHORITY AND DUTIES.  The Chief Executive Officer or Administrator shall serve at the pleasure of the Board of Trustees, and be responsible for the administration of all the affairs of the City-owned hospital.  The Chief Executive Officer shall be given the necessary authority and be held responsible for the administration of the Medical Center and all its activities and departments, subject to such policies as may be adopted and such directives as may be issued by the Board.  The Chief Executive Officer shall act as the duly authorized representative of the Board in all matters in which the Board has not formally designated some other person for that specific purpose.  The Chief Executive Officers duties shall include, but not be limited to:  


(a)        Ensure that the by-laws, rules and regulations are enforced;
(b)        Appoint and remove all heads of departments, and all subordinate officers and employees of the City-owned hospital;
(c)        Be responsible for the discipline of all appointive officers, and may, without notice, cause the affairs of any department or the conduct of any officer or employee to be examined;
(d)        Prepare and submit the annual budget to the Board of Trustees and also keep the Board of Trustees advised as to the financial conditions and needs of the hospital;
(e)        Make recommendations to the Board of Trustees on all matters concerning the welfare of the hospital, and shall have a seat, but no vote, in all of the public meetings of the Board of Trustees;
(d)        Providing leadership and direction in Medical Center operations.
(e)        Implementing all Board of Trustee policies.
(f)        Participating with the Board of Trustees in charting the strategic plan of the Medical Center based on the Medical Centers vision.
(g)        Informing the Board of Trustees of current trends, issues, problems, and activities in community health needs.
(h)        Recommending policy positions to the Board of Trustees.
(i)        Encouraging integration of the Medical Center and the community.
(j)        Developing new business opportunities to appropriately meet the healthcare needs of the Medical Centers market area.        
(k)        Functioning as the key liaison with the Medical Staff in such a manner that supports an active partnership with the Medical Staff.
(l)        Developing a Management Team which promotes effective leadership and whose actions result in the Medical Center moving closer to its vision.
(m)        Coordinating the development, presentation and implementation, monitoring, and reporting of the Medical Centers operating budget.  Such efforts shall be focused on customer satisfaction and financial viability and shall be reported to the Board of Trustees monthly or at a time as directed by the Board of Trustees.
(n)        Ensures compliance with the regulations of governing and surveying bodies.
(o)        Coordinating activities related to the development, implementation, and maintenance of the Medical Centers Risk Management and Process Improvement programs.  Results of these activities shall be reported to the Board of Trustees monthly or at a time agreed upon by the Board of Trustees.
(p)        Coordinating the activities related to the development, implementation, and maintenance of the Medical Centers integrity program.  Result of these activities shall be reported to the Board of Trustees monthly or at a time agreed upon by the Board of Trustees.
The Medical Center Chief Executive Officer or his designee shall be an ex-officio member of the Medical Staff Executive Committee.  Ex-officio members will not have the right to vote.
